Introduction
These Terms of Service ("Terms") govern your access to and use of the Qikoo software-as-a-service platform and related services (collectively "Services"). Please read the Terms carefully before using the Services. By using the Services you agree to be bound by these Terms. If you do not agree, you may not use the Services.
Access and Use
We grant you access to use the Services for your business and commercial purposes subject to these Terms. You determine who in your organization may access the Services on your behalf for such business use. Using Services outside business purposes or granting access for such extraneous use is prohibited.
Account Registration
You must register for an account by providing current, complete and accurate information in order to access Services. You are responsible for the appropriate use of any credentials assigned to you and your authorized users hereunder. You must protect the confidentiality of those credentials and notify us immediately about any unauthorized access or violations.
Fees and Payment
Use of Services may require payment of fees as indicated during the subscription process. All fees are inclusive of any taxes unless stated otherwise. Payment obligations are non-cancelable and fees paid are non-refundable.
IP Rights and Ownership
All proprietary rights including valid IPR relating to Services shall remain with us and/or our licensors. You may use content retrieved from Services only for purposes related to the conduct of your own business. You may not otherwise copy, reproduce, distribute, or commercially exploit any content or part of Services without our express consent. Marks and logos associated with Services belong exclusively to us.
Confidential Information
All non-public technical, business and other information, including opinions, that you access in connection with the use of Services, constitutes our Confidential Information. You shall use reasonable procedures and efforts to safeguard our Confidential Information and prevent unauthorized use or disclosure.
Termination
We reserve the right to terminate your access to Services if you breach these Terms or use Services contrary to stated policies. You agree to stop accessing Services immediately upon termination and delete any information still in your possession or control. We have no obligation to retain your data stored after a period of 30 days post termination.
Disclaimers and Limitation of Liability
We provide Services on an as-is basis without warranties of any kind. We provide our support to make sure our services are working as expected. Our liability arising out of or in connection with Services is limited to the amount you paid for Services in the 12 months preceding the incident.
Modifications
We may modify these Terms from time to time effective upon posting an updated version at the Services website. Your continued use of Services thereafter constitutes acceptance of the latest Terms.
Governing Law
These Terms shall be governed by the laws of Estonia without regard to conflict of law principles. Any disputes concerning these Terms or related to the Services shall be subject to the exclusive jurisdiction of courts located in Tallinn, Estonia.
